Terms of Service

These terms govern the use of accounting-romania.com and any accounting work RomaniaAccount Pro accepts. Where the written accounting contract for a named company says something different, that contract prevails.

Who these terms are between, and when they apply

These terms are between you and RomaniaAccount Pro, the trading name under which this site and its accounting work are offered, with its office at Strada Kiseleff 32, 010789 Bucharest, Romania. Notices under these terms go to info@accounting-romania.com, the only email address we use.

The terms apply when you use this site, send an enquiry or the onboarding questionnaire, or pay an invoice. Sending a form creates no engagement. Work for a company starts only when both sides sign a written accounting contract (an engagement letter) that names the company and the parties. Where the two differ, the contract prevails over these terms.

What we do, and what we do not do

Our scope is the list of services on this site. Anything else needs a separate written agreement, or a different professional.

Inside the accounting contract

  • Monthly bookkeeping and the statutory ledgers, reported to you in English
  • Payroll and the REGES-Online employee register
  • VAT registration, VAT returns and fiscal representation for non-resident companies
  • Corporate income tax and micro-enterprise tax returns, as part of the accounting contract
  • Annual financial statements, SAF-T reporting and RO e-Factura compliance
  • Dormant-company accounts and liquidation accounts

Around the accounting contract

  • SRL formation filing at ONRC under the founders' power of attorney
  • Ready-made SRLs, whose books we take over on transfer
  • Assistance with opening a business bank account

The accounting work is performed by CECCAR-registered accountants, as art. 1 and 21(1) of OG 65/1994 require, and the accounting contract names who performs it. Any registration can be checked on CECCAR's public member list.

Outside our scope: stand-alone tax advice and tax planning, which belong to a consultant fiscal (tax consultant) registered with the CCF, the Chamber of Tax Consultants; statutory audit; and the drafting of constitutive acts, share-transfer agreements and resolutions, which is a lawyer's work under art. 3 of Law 51/1995. We offer no registered office, nominee arrangement or director for hire.

What this site does, and who may lawfully do the rest.

Your part and ours

  1. Your information

You give us complete and accurate information, and each month's documents in time for the statutory filings. The company keeps its own accounting obligation under art. 1(1) of Law 82/1991.

  2. Identity checks first

Before work starts we identify the company, its directors and its beneficial owners, as Law 129/2019 on anti-money laundering requires of accountants. Work does not start until the checks are complete.

  3. Preparing and filing

We prepare and file what the accounting contract covers, and tell you in English what was filed and what is due from you.

  4. The authorities decide

ANAF, ONRC, the Labour Inspectorate and the banks decide on registrations, tax refunds and accounts. Their refusal or request for more documents is not a breach by us. No outcome is promised.

  5. Ending the engagement

Either side may end the engagement on the notice the accounting contract sets. The books and documents are handed back as that contract says.

Fees, invoices and payment

Our fees are quoted individually and in writing, once we know the company, and are never published on this site. State fees, notarial and bank charges and other third-party costs are separate, and are paid to whoever charges them.

  • Invoices are issued in EUR or CHF under the accounting contract.
  • An issued invoice is paid on our payment page, by card or in crypto.
  • Card payments are processed by Stripe; we never see your card details.
  • Crypto payments are processed by NOWPayments, under its own rules.

Refunds

To request a refund, email info@accounting-romania.com and quote the invoice number. Whether a refund is due, and how much, follows the engagement letter (the accounting contract) for your company.

An agreed refund goes back by the route the payment came in: a card payment through Stripe to the same card, a crypto payment through NOWPayments under its rules. A state fee already paid to an authority on your company's behalf cannot be refunded by us.

Liability, confidentiality, personal data and the information on this site

Liability for the accounting work is set by the accounting contract for your company and by Romanian law. Nothing on this site extends it.

We keep client information confidential, subject to the reporting duties of the anti-money-laundering law. Personal data is handled as our privacy policy describes; cookies as our cookie policy describes.

The guides and service pages are general information, each figure with its law and date. They are not advice for a particular company and not tax consultancy. Rules change, so a page is accurate as of the date it shows.

Governing law, changes to these terms, and how to reach us

Romanian law governs these terms and the use of this site. A dispute that cannot be settled between us goes to the competent courts of Romania.

We may change these terms. The "Last updated" date at the top of this page records each change, and a change never applies backwards to an accounting contract already signed. These terms are written in English, with each Romanian official term glossed.

Ask before you sign, not after: questions about these terms go to info@accounting-romania.com or through our contact page.
