company liquidation
Company Liquidation in Romania
A solvent Romanian SRL closed in order, from the members' decision to the strike-off, with the books, final returns and members' tax in English.
- Members' decision filed at ONRC within 15 days (art. 43(1) Law 265/2022)
- Creditors may oppose for 30 days after publication (art. 62(1) Law 31/1990)
- Liquidation tax: 10% or 16% by member type (art. 97(5), 224(4) Fiscal Code)
- Signed from abroad under a notarised power of attorney (art. 81(1) Law 265/2022)

A company closed in order leaves no open return behind it.
Closing a foreign-owned SRL, with the books kept to the end
Dissolution opens the liquidation, and the company then keeps its legal personality only to be wound up (art. 233(1), (4) Law 31/1990). We run the accounting and tax side to the strike-off (radiere): filings under your mandate, books kept by CECCAR-registered accountants. It is the last stage after how opening a company works in Romania.
It is for owners abroad of a solvent SRL whose debts can be paid or settled with the creditors (art. 235(1)), and for members who need to know what they owe on what they take out. Our lawyer partner drafts the decision; insolvency is outside this service.
What's included
The closure is accounting and tax work, from the first check to the last filing.
The route, set out as the law's conditions
Simultaneous dissolution and liquidation where the debts are settled and the members agree unanimously on the split (art. 235); ordinary liquidation otherwise; insolvency where the company cannot pay.
A pre-closure review
Every return and statement checked as filed, the books reconciled, assets, receivables and creditors listed, and the tax certificate (certificat de atestare fiscală) requested under your mandate.
The legal acts, coordinated
Our lawyer partner drafts the decision and any creditor settlement, the members sign, and the attorney files it at ONRC within 15 days of the act.
Books kept to the end
The inventory and opening balance sheet, the liquidation period kept as one financial year (art. 27(5) Law 82/1991), and the same care as preparing the annual accounts of a Romanian SRL.
The tax close-out
The final profit-tax or micro return and payment by the date the statements are filed, VAT cancellation within 15 days, and no interest or penalties after the dissolution entry.
The members' liquidation tax
Computed, withheld and paid for each member, each non-resident's tax residence certificate collected before payment, and the withheld income reported on the informative return 205.
Liquidation statements and the strike-off file
Form S1039 and the draft distribution for signature, then the file with the final report and proof that the liquidation tax was computed, withheld and paid.
After the strike-off
The strike-off certificate collected, ANAF's own deregistration of the company confirmed (art. 90(3) Fiscal Procedure Code), and the records handed to the member who keeps them.
Not included: legal drafting, reserved to lawyers (art. 3(1)(c), 3(2) Law 51/1995, version of 6 July 2026); the liquidator role; insolvency work; stand-alone tax advice. Our fee is quoted on request.
Three routes to close a company, and two alternatives
The law's condition decides the route, not a preference. A sale of the shares is the other side of the ready-made companies page.
| Route | When the law allows it | Who acts | Statutory terms |
|---|---|---|---|
| Simultaneous dissolution and liquidation (dizolvare și lichidare simultană) | debts paid or settled with the creditors, the mode of liquidation decided with the dissolution (art. 235(1) Law 31/1990); a unanimous vote on the split (art. 235(2)) | the members, our lawyer partner, our accountant | decision filed within 15 days (art. 43(1) Law 265/2022); creditors' opposition 30 days from Part IV publication (art. 62(1)); strike-off application within 15 days of the end (art. 260(6)) |
| Ordinary liquidation (lichidare) | no unanimity on the split (art. 235(2)); assets to sell, claims to collect | liquidators appointed by all members (art. 262(1)); a natural person must be an authorised liquidator (art. 253(1)) | liquidators within 60 days of the dissolution entry; finished within one year, extendable at most three times by one year (art. 260) |
| Insolvency | a company in liquidation that cannot pay its debts (art. 270^1) | insolvency practitioners | outside this service |
| Suspension (inactivitate temporară) | an alternative to closing; suspension is itself a ground of fiscal inactivity | the members, with the dormant-company service | up to 3 years, after which the registrar can dissolve the company (art. 237^2(1)(b)) |
| Sale of the shares | the company continues under a buyer | the seller and the buyer | the share-transfer rules, outside this service |
| Doing nothing | an inactive company not reactivated within one year is dissolved (art. 92(4^1) Fiscal Procedure Code) | the state: ONRC strikes the company off or appoints its own liquidator | with no tax arrears, struck off if nobody asks for a liquidator within 20 days of the dissolution entry (Art. VIII(3) Law 239/2025) |

Pre-closure review
Our accountant checks every return as filed and lists the creditors; the tax certificate is issued within 3 working days, usable 30 days (art. 158(5) Fiscal Procedure Code, to OUG 38/2026).
Debts settled, contracts ended
You pay or sign settlements our lawyer partner drafts. Our team for payroll in Romania ends the employment contracts through REGES-Online, with at least 20 working days' notice.
The members' decision
Our lawyer partner drafts, the members sign: the dissolution, the mode of liquidation and, by unanimous vote, the split of what remains. No official time is published.
Filing at ONRC
An attorney under a notarised power, or our lawyer partner, files within 15 days of the decision (art. 43(1), 81(1) Law 265/2022, 2022 text); the registrar rules in one working day.
Opposition window
Creditors may oppose for 30 days from Part IV publication (art. 62(1) Law 31/1990). The administrators start no new business, and every company document says 'in liquidation'.
Liquidation accounts and the tax close-out
Our accountant files the final returns and pays by the date the statements are filed, withholds each member's tax, prepares form S1039 and requests the VAT cancellation.
Distribution and strike-off application
We prepare the file; the attorney lodges it within 15 days of the end, on pain of 20 lei a day (art. 260(6) Law 31/1990), with proof of the liquidation tax.
Strike-off, and after
The registrar issues the strike-off certificate; ANAF deregisters the company of its own motion. Registers are kept 5 years, books 10: the company registration number guide shows the final status.
Ordinary route: liquidators within 60 days, a natural person authorised, their report within 60 days of appointment, the whole liquidation within one year, extendable at most three times (art. 260). Insolvent: insolvency.
Debts settled and every member agreed on the split, or not yet?
We set out which route the law opens for your company, and what each member owes on the way out.
Tax on what the members take out
Liquidation proceeds are taxed under their own rule, not as dividends, and only above the capital contribution. In depth: the withholding tax guide.
| Member | Rate | Base | When it is paid |
|---|---|---|---|
| Individual resident in Romania | 10%, final (art. 97(5) Fiscal Code, consolidated to Law 170/2026) | the proceeds above the contribution | withheld by the company, paid by the filing of the final statement |
| Individual resident in the EU or a treaty state | 10% (art. 224(4)(c^1)) | the excess of the distributions in cash or in kind over the contribution (art. 223(1)(o)) | declared and paid by the 25th of the month after payment (art. 224(5)) |
| Company, or any other non-resident | 16% (art. 224(4)(d)) | the same excess over the contribution | declared and paid by the 25th of the month after payment (art. 224(5)) |

Documents you will need
For the simultaneous route; the ordinary route adds the liquidator's appointment acts, and the rest follows ONRC's list.
- A passport copy of each member and of the administrator
- The signed decision, by hand or with a qualified electronic signature
- A notarised special or general power of attorney for ONRC, or a lawyer's mandate
- Foreign official documents: the original with an apostille for Hague Convention states and a Romanian translation
- A mandate for our accountant before ANAF (art. 18(1) Fiscal Procedure Code)
- Each non-resident member's tax residence certificate, at the moment of payment
- A corporate member's own internal approval of the decision
- Bank statements, contracts, assets, receivables, creditors, settlements; SPV access or a mandate
- Employment records for ending the contracts, and each member's bank details
Problems we solve
The situations owners bring when the company has to end.
'We stopped trading and stopped filing'
An inactive company not reactivated within a year is dissolved, then struck off or given an ONRC liquidator (Art. VIII Law 239/2025, in force 18 December 2025). See a company declared inactive by ANAF.
'The members live abroad and want their money out'
Only the excess over the capital contribution is taxed, at 10% or 16% by member type. We collect each residence certificate before any payment is made.
'Nobody can say whether a liquidator is needed'
We set out the statute's conditions for each route before the decision. Where a liquidator is appointed, a natural person must be an authorised liquidator (art. 253(1) Law 31/1990), never our staff.
'Nobody can fly to Bucharest'
The ONRC filing goes in under a notarised power of attorney or through a lawyer, foreign official documents carry an apostille, and our accountant deals with ANAF under a mandate.
'Who answers if something was missed?'
Liquidation does not release the members (art. 260(2) Law 31/1990), and administrators who in bad faith left taxes unpaid stay jointly liable. The pre-closure review exists for this.

Start with the pre-closure review; the route follows from what it finds.
Why work with us
The books and the tax work are performed by CECCAR-registered accountants under the accounting contract (art. 10(3) Law 82/1991, 2008 text; art. 6(a) OG 65/1994). The decision and any settlement are drafted by our lawyer partner.
From our practice
On every closure we check that each return and statement was filed before the decision, collect each non-resident member's residence certificate before any payment, and prepare the S1039 statements and the proof of the liquidation tax that the strike-off file carries.
Daria Constantin
Company set-up and closure lead, Bucharest. Follows a voluntary liquidation from the members' decision to the removal from the register and hands every bespoke legal document to our lawyer partner.
Frequently asked questions about closing a Romanian company
Can I just stop filing and leave the company to be struck off?
An inactive company not reactivated within one year is dissolved (art. 92(4^1) Fiscal Procedure Code). Under Law 239/2025, ONRC strikes it off if it has no tax arrears and nobody asks for a liquidator within 20 days; with arrears, it appoints one for 1,000 lei plus 10% of recovered sums exceeding 2,000 lei. Bad-faith administrators and abusive members stay liable.
Is it not cheaper to suspend the company or sell it than to liquidate it?
Both are lawful alternatives with their own rules. A suspension at the trade register lasts up to 3 years, after which the registrar can dissolve the company (art. 237^2 Law 31/1990), and the suspension is itself a ground of fiscal inactivity. A sale of the shares keeps the company alive under a buyer. The company's own figures decide between them.
Why do I need a lawyer and an accountant, and not just one firm?
Romanian law splits the work. Drafting legal acts, such as the dissolution decision or a creditor settlement, is reserved to lawyers (art. 3 Law 51/1995). Keeping a company's accounts under contract is reserved to CECCAR members (art. 10(3) Law 82/1991), who also do the tax work. Our CECCAR-registered accountants keep the books; our lawyer partner drafts the acts.
Do I need an authorised liquidator?
On the ordinary route, yes: the members appoint liquidators (art. 262(1) Law 31/1990), and a natural person must be an authorised liquidator (art. 253(1)). On the simultaneous route the members decide the mode of liquidation with the dissolution (art. 235(1)), while ANAF's texts speak of statements drawn up by liquidators. We set out the conditions before the decision.
Which route fits my SRL?
The law sets the conditions. Where the debts are paid or settled with the creditors and every member agrees how to split what remains, the simultaneous route is open (art. 235 Law 31/1990). Without unanimity on the split, ordinary liquidation by liquidators applies. A company that cannot pay its debts goes to insolvency (art. 270^1), which is outside this service.
How long does closing a Romanian company take?
Only the statutory terms are fixed: the decision is filed at ONRC within 15 days, creditors may oppose for 30 days after publication in Monitorul Oficial Part IV, an ordinary liquidation ends within one year, extendable at most three times by one year, and the strike-off application follows within 15 days of the end. No total duration is published.
What does the state charge to close a company?
Publishing the dissolution in Monitorul Oficial Part IV costs 152 lei per manuscript page under the 2026 tariff; the total depends on the page count. Publishing in and consulting the trade register's electronic Bulletin is free (art. 15(4) Law 265/2022). Whatever ONRC charges for the entries is confirmed for each file. Our own fee is quoted on request.
Do I have to come to Romania to close my company?
The ONRC filing can be signed by an attorney under a notarised special or general power of attorney, or by a lawyer (art. 81(1) Law 265/2022). Foreign official documents go in as originals with an apostille where the issuing state is a Hague Convention party, with a Romanian translation. Our accountant deals with ANAF under the company's mandate.
What tax do I pay on what I take out as a foreign member?
Only the excess of what you receive over your capital contribution is taxed (art. 223(1)(o) Fiscal Code). An individual resident in the EU or a treaty state pays 10%; a company or any other non-resident pays 16%; a Romanian-resident individual pays 10%, final. A treaty rate needs your tax residence certificate at the moment of payment (art. 230(2)).
Is liquidation money taxed as a dividend?
No. What a member receives on liquidation above the capital contribution is taxed under its own rule for liquidation income (art. 97(5) and 223(1)(o) Fiscal Code), not under the dividend rules. The company computes the tax, withholds it and pays it, and the strike-off application carries proof that this was done (art. 235(2) Law 31/1990).
What are the final tax filings?
The final profit-tax or micro-enterprise return and payment, by the date the financial statements are filed; the withholding on non-resident members, by the 25th of the month after payment; the informative return 205; the liquidation statements on form S1039; and, for a VAT-registered company, the VAT cancellation request within 15 days of ceasing activity.
Do interest and penalties keep running during the liquidation?
No. Under art. 180(1) Fiscal Procedure Code, consolidated to OUG 38/2026, interest and late-payment penalties are no longer due or calculated from the date the dissolution is registered. Taxes already due are still owed, and every return must be filed and every tax paid by the filing of the balance sheet (art. 155(1)).
What if the liquidation lasts past 31 December?
While the liquidation lasts, the company files an annual accounting report with ANAF within 90 days of each calendar year end (art. 9(1) OMF 2.036/2025). For profit tax, the period from the first day of the following fiscal year to the close of the liquidation counts as one fiscal year (art. 16(6) Fiscal Code).
Can we change our minds after the decision to dissolve?
Yes. The members can go back on the dissolution, with the majority needed to amend the articles of association, as long as nothing has yet been distributed to them from the company's assets (art. 231(1) Law 31/1990). Once anything has been distributed, the decision to dissolve stands and the liquidation runs to its end.
What happens to the company's property and records after the strike-off?
The members own the remaining assets from the strike-off date, with a certificate usable for the land book (art. 235(3)-(4) Law 31/1990). Goods handed over in kind can carry VAT where VAT on them was deducted. The registers are kept 5 years by the member the majority chooses; books 10 years, payroll statements 50 years.
