Who may keep a Romanian company's books

Romanian law reserves bookkeeping for clients to one profession, under an accounting services contract (art. 10(3) Law 82/1991).

  • Only experts contabili (chartered accountants), contabili autorizați (licensed accountants) and approved firms on CECCAR's register (art. 21(1) OG 65/1994).
  • Anyone else doing this work commits a criminal offence (art. 43(1) OG 65/1994).
  • The CECCAR member answers for keeping the accounts, your administrator for organising them (art. 10 Law 82/1991).
  • Tax returns, payroll and representation before ANAF sit inside that contract (art. 6(a), (e) OG 65/1994).
  • Statutory audit, tax consultancy and valuation need another title; we offer none (art. 7 OG 65/1994).
  • Check any accountant's name or număr matricol (registration number) in CECCAR's member search for this year's visa.
  • Our accounting work is performed by CECCAR-registered accountants: ask for the number and check it.

Six steps to the first year end, with the two deadlines set by law.
  1. Scoping

You send the company's identifiers, activity, VAT status and payroll. We reply with questions and a proposal.

  2. Client identification

Accountants are anti-money-laundering reporting entities (art. 5(1)(e) Law 129/2019), so we identify the owner and the beneficial owners before work starts.

  3. The accounting contract

Your administrator and the CECCAR member sign the accounting services contract, which sets who answers for what. A previous accountant hands over the books at this stage.

  4. Power of attorney and SPV

The administrator signs a power of attorney for ANAF, which we lodge in original or legalised copy (art. 18(2) Fiscal Procedure Code), and gives us access to SPV, ANAF's online account.

  5. The monthly cycle

You send invoices, bank statements, contracts and payroll changes. We book them and file the returns by the 25th of the following month.

  6. Year end

We prepare the annual financial statements and file them electronically with a qualified digital certificate by 31 May of the following year (OMF 2.036/2025).

Frequently asked questions

I don't speak Romanian: can I keep the books of my SRL myself?

When an outside provider keeps the books, the law requires a services contract with members of CECCAR, the body of expert and licensed accountants (art. 10(3) Law 82/1991; art. 21(1) OG 65/1994). Anyone else doing the work commits a criminal offence (art. 43(1) OG 65/1994). The annual statements are drawn up in Romanian and in lei.

If I outsource the accounting, am I still liable when something is filed wrong?

Under the accounting services contract, responsibility for keeping the accounts passes to the CECCAR member, under the law and the contract (art. 10(4) Law 82/1991). Responsibility for organising the accounts stays with the company's administrator (art. 10(1)). Both sides sign the contract, which sets out who does what each month and at year end.

How do I check that an accountant in Romania is really CECCAR-registered?

CECCAR's register, the Tabloul Corpului, is published every year in the Official Journal, Part I, and membership is proven by a card stamped each year (art. 21(1) OG 65/1994). CECCAR's online member search takes a name or a registration number (număr matricol) and shows the visa for the current year.

Can my accountant deal with ANAF for me, or do I need a separate tax consultancy?

Computing taxes, filing returns and representing the client before the tax authorities are tax work inside the accounting contract (art. 6(a) OG 65/1994). The power of attorney is lodged in original or legalised copy (art. 18(2) Fiscal Procedure Code). Stand-alone tax consultancy is reserved to the CCF register (art. 8(6) OG 71/2001) and not offered here.

Will I get my accounts in English if the statutory books are in Romanian?

Romanian annual financial statements are drawn up and published in Romanian and in lei (OMF 2.036/2025, Annex 1, pt. 1.4). The English layer is our reporting to you: what it covers and how often you receive it are agreed in the accounting contract before the work starts.

What do I have to send you each month, and how long must the documents be kept?

Sales and purchase invoices, bank statements, contracts and payroll changes, in time for the returns due by the 25th of the following month; the contract sets the exact list. Books and supporting documents are kept for 10 years from the end of the financial year, and payroll statements for 50 years (art. 25(1) Law 82/1991, as republished in 2008).

What tax does a small company pay in 2026?

A micro-enterprise pays 1% of its revenue (art. 51(1) Fiscal Code). The regime requires at least one employee (art. 47(1)(g)), and from 1 January 2026 its revenue ceiling is EUR 100,000 (art. 54(3)). A company that crosses the ceiling during the year pays profit tax from that quarter (art. 52(1)). Profit tax is 16% (art. 17).

What are the VAT rates and the VAT registration threshold in 2026?

The standard VAT rate is 21% and the reduced rate 11%, both since 1 August 2025 (art. 291 Fiscal Code, as amended by Law 141/2025). The VAT exemption threshold is 395,000 lei of annual turnover since 1 September 2025 (art. 310(1) Fiscal Code, OG 22/2025).

What tax is due when I take dividends out of the company?

From 1 January 2026, dividends are taxed at 16% (Law 141/2025): final for individuals (art. 97(7) Fiscal Code); between Romanian companies, unless the recipient has held a qualifying stake for a year and both pay profit tax; withheld for non-residents, unless a treaty or the EU parent-company exemption lowers it. More on tax on dividends paid by a Romanian SRL.

What happens if the company stops filing?

A company can be declared fiscally inactive if it files no return in a calendar half-year, files its annual statements 5 months late or has no payment account in Romania (art. 92 Fiscal Procedure Code). Trading while inactive loses the deduction of expenses and input VAT (art. 11(6) Fiscal Code); not reactivated within a year, the company is dissolved.

Does my SRL need a Romanian bank account?

A new company opens a payment account in Romania within 60 working days of formation, a duty in force since 1 January 2026 (art. 1(12)-(13) Law 70/2015, inserted by Law 239/2025). Not opening one is fined 3,000 to 10,000 lei, and having no payment account in Romania is a ground for fiscal inactivity (art. 92 Fiscal Procedure Code).

Does my SRL need a statutory audit?

A company is subject to statutory audit when, at the balance-sheet date, it exceeds at least two of three limits: total assets of 16,000,000 lei, net turnover of 32,000,000 lei, an average of 50 employees during the year (OMF 2.036/2025, Annex 1, pt. 2.6(4)). Statutory audit is reserved to financial auditors (art. 7 OG 65/1994) and is not offered here.
