A year of monthly books ends in the statements.

Year-end accounts for a foreign-owned company

The annual financial statements (situații financiare anuale, colloquially the bilanț) are a company's official record of its financial position and must give a true and fair view (art. 9(1) Law 82/1991, 2008 republication). Every company draws them up (art. 28(1)). Ours are prepared from the monthly Romanian books by CECCAR-registered accountants, inside the contract set out in our accounting services overview.

It is built for foreign-owned SRLs on the micro-enterprise regime, subsidiaries reporting to a parent abroad, branches of non-EEA companies, and new companies in their first year, which may choose their set of forms. A company not yet formed can start with SRL registration with accounting from day one.

What's included

Eight parts, all built on the monthly books.

Year-end close on the Romanian books

Trial balance at year end; Registrul-jurnal, Registrul-inventar and Cartea mare up to date (art. 20, 22 Law 82/1991), in Romanian and lei.

Size test and the right set of forms

Micro, small or medium-large, decided at year end on the previous year's statements (OMF 2.036/2025, Annex 1 pt. 2.6(2)). A new company may choose its set for the first year (pt. 2.5).

The statements, drafted

Prepared under the Romanian accounting regulations approved by OMFP 1.802/2014, in the Ministry of Finance's free software: forms S1002 to S1005 for the 2025 statements.

Administrators' documents for signature

The administrators' report and the proposal on profit or loss (pt. 3.5(1)), plus the written statement of responsibility (art. 30 Law 82/1991), for the administrator's signature.

Members' approval on the standard form

The general meeting, or the sole member (asociat unic), approves the statements and allocates net profit (art. 194(1)(a), 13 Law 31/1990). A bespoke resolution goes to a lawyer partner.

Checks before anyone signs

The on-time condition of the micro regime (art. 47(1)(i) Fiscal Code), the 400,000 lei step to 5,000 lei capital, net assets against half the capital, distributable profit. Then micro-enterprise and profit tax compliance in Romania.

Filing, receipt and an English summary

Uploaded on www.e-guvernare.ro with a qualified certificate, as PDF, XML and ZIP within 9.5 MB (pt. 1.8), by 31 May; then the receipt and an English summary of the figures.

Special cases

The S1046 declaration, branch filings, the liquidation report and form S1039, a non-calendar financial year. Never traded? See what a Romanian company with no activity still has to file every year.

Not included: statutory audit, statutory IFRS statements, stand-alone tax advice, bespoke legal drafting. A group reporting package sits beside the Romanian statements, never instead.

Which standards and which set your company files

An SRL reports under the regulations approved by OMFP 1.802/2014. Group reporting does not replace them: Romanian tax is computed from the Romanian books (art. 19(1) Fiscal Code).

Thresholds are those of OMF 2.036/2025 for financial year 2025; audit also applies above two audit criteria in two consecutive years.

  1. Your documents, all year and at the close

You send invoices, bank statements, contracts, payroll records and ANAF letters, mostly through the monthly books and our SAF-T and e-Factura service. A new client also brings last year's statements.

  2. Year-end close

Our CECCAR-registered accountant runs the inventory, reconciliations and trial balance, and brings the mandatory books up to date, in Romanian and lei.

  3. Size test and format

At the end of the financial year the accountant sets the class: micro, small or medium-large. Where the audit thresholds are met, the company contracts a financial auditor.

  4. Drafting the statements

The contabil autorizat (licensed accountant) prepares the statements work (art. 2(3) OG 65/1994) in the year's software: forms S1002 to S1005, published 28 January 2026, under OMFP 1.802/2014.

  5. Checks and the administrators' documents

We run the four checks and draft the report, the proposal and the written statement. The administrator signs; from abroad, the signed pages are scanned into the ZIP.

  6. Approval by the members

The members, or the sole member, approve before filing (art. 194(1)(a) Law 31/1990, text of January 2024). An SA meets within 5 months of year end. Approval does not release the administrators (art. 186).

  7. Filing

By 31 May inclusive, or the first working day after, we upload PDF, XML and ZIP on www.e-guvernare.ro with a qualified certificate. Each year's date: the financial statements filing deadline in Romania.

  8. After filing

The Ministry of Finance sends copies to ONRC and shows the balance sheet on its lookup for six years. The statements are kept 10 years; you receive the receipt and summary.

Not sure which set of forms your company files?

The year-end filing plan settles the size test first, then the forms, the signatures and the date.

What you will need to supply

Most of this reaches us through the monthly books. For VAT letters, see when a Romanian company must register for VAT and how long ANAF takes.

  • Sales and purchase invoices for the whole year
  • Bank statements of every company account
  • Contracts, loans and shareholder-account documents
  • Payroll records for the year (payroll for a Romanian SRL)
  • The fixed-asset list and the year-end stock counts
  • Anything received from ANAF, VAT correspondence included
  • Last year's statements and trial balances, if the books were kept elsewhere
  • The administrator's signed report, proposal and written statement
  • The members' approval, or the sole member's decision
  • A passport copy of the administrator

The statements are in Romanian and lei; no text we read requires an apostille or translation of these documents.

Filings, deadlines and state costs

Every ANAF filing below is electronic, and none carries a state fee (OMF 2.036/2025, Annex 1 pt. 1.8, 3.1 and 3.3, in force for the 2025 statements).

Legal publicity is free: the Ministry of Finance sends the copies to ONRC itself. The filing is signed with a qualified digital certificate (OMF 2.036/2025, Annex 1 pt. 1.8(1)).

Problems we solve

Five year-end situations, and how each is handled.

Nobody in the company reads Romanian

Under a service contract only CECCAR members may keep a company's accounts (art. 10(3) Law 82/1991); unauthorised practice is a criminal offence (art. 43(1) OG 65/1994). We file in Romanian and lei, and explain in English.

The group already reports under IFRS

The SRL still files under OMFP 1.802/2014, and Romanian tax is computed from those books (art. 19(1) Fiscal Code). The group package sits beside them.

Another provider said 150 days

That is the 2008 text of art. 36(1)(a) of the Accounting Law. The order in force, OMF 2.036/2025, fixes 31 May inclusive of the following year (Annex 1 pt. 3.1).

The deadline has passed

File anyway: an art. 42 Accounting Law fine, profit tax for a micro-enterprise from that quarter, and, from 1 January 2026, an inactivity ground at five months late (art. 92(1^2)(b) Fiscal Procedure Code). See the fiscal inactivity guide.

The administrator lives abroad

The signed report, proposal and written statement are scanned into the ZIP attached to the filing (OMF 2.036/2025, Annex 1 pt. 1.8(4)). A sole member approves alone (art. 13 Law 31/1990).

Why work with us

  • Ioana Marinescu

Accounting and reporting client lead, follows each company's statements from the year-end checklist to the filing receipt, beside the CECCAR-registered accountant performing the contract, for owners who want an accountant in Bucharest.

Accounting work is performed by CECCAR-registered accountants on the Tabloul Corpului (art. 21(1) OG 65/1994, amendments to 2017).

From our practice

At every year end the four checks run before anyone signs, and the receipt reaches the owner with an English summary of the figures.

Frequently asked questions

Can I prepare and file my Romanian company's statements myself, or have my group's accountant abroad do it?

Under a service contract, a company's accounts may be kept only by members of CECCAR, the body of expert and licensed accountants (art. 10(3) Law 82/1991), and unauthorised practice is a criminal offence (art. 43(1) OG 65/1994). A group accountant abroad who is not on the CECCAR register cannot take the work. The statements are filed in Romanian and lei.

Our group already reports under IFRS: why does the Romanian SRL need separate statements?

An SRL reports under the Romanian accounting regulations approved by OMFP 1.802/2014. IFRS, under OMFP 2.844/2016, is for companies whose securities are admitted to trading and for entities under BNR or ASF accounting rules. Romanian tax is computed from the Romanian books (art. 19(1) Fiscal Code), so the group package sits beside the statutory statements, never instead.

If the accountant makes a mistake, who is liable: the accountant or me?

The administrator stays responsible for organising and keeping the accounts (art. 10(1) Law 82/1991) and signs the written statement of responsibility (art. 30). A CECCAR provider keeping the books under contract carries the liability the law and the contract give it (art. 10(4)). Approval by the members does not bar an action against the administrators (art. 186 Law 31/1990).

My company has not traded: do I still have to file?

It depends on whether it ever traded. A company with no activity from incorporation to the end of the financial year files a sworn declaration, form S1046, instead of statements, within 60 days of the year end (OMF 2.036/2025, Annex 1 pt. 3.3). A company that traded and then stopped files full annual financial statements by 31 May.

Can the statements be in English or in euro?

No. The annual financial statements are drawn up and published in Romanian and in lei (OMF 2.036/2025, Annex 1 pt. 1.4). What you receive in English is our summary of the figures, sent with the filing receipt: a service deliverable for the owner and the group, not part of the filing itself.

What does the state charge to file the annual financial statements?

Nothing for the filing itself: no state fee is set, and the Ministry of Finance's assistance software is free (OMF 2.036/2025, Annex 1 pt. 1.8(4)). Legal publicity costs nothing either, as the Ministry sends the copies to ONRC. The filing is signed with a qualified digital certificate (pt. 1.8(1)). Our own fee is quoted on request.

What does the annual financial statements service include?

Eight parts: the year-end close on the Romanian books, the size test, the statements in the Ministry of Finance software, the administrators' documents for signature, the members' approval on the standard form, the checks the figures trigger, the electronic filing with an English summary, and special cases such as S1046, branch filings and the liquidation report.

Which accounting standards does a Romanian SRL use?

A Romanian SRL reports under the accounting regulations approved by OMFP 1.802/2014 (OMF 2.036/2025, Annex 1 pt. 1.1). IFRS, as approved by OMFP 2.844/2016, applies to the entities the yearly order names: companies whose securities are admitted to trading, and entities under BNR or ASF accounting rules, which also file an annual accounting report.

What exactly does a small company file?

For financial year 2025, a micro-entity is one not above two of: total assets 2,250,000 lei, net turnover 4,500,000 lei, an average of 10 employees (OMF 2.036/2025, Annex 1 pt. 2.1). It files the abridged balance sheet (code 10) and the abridged profit and loss account (code 20), with codes 30 and 40, through forms S1002 to S1005.

Do the members have to approve the statements, and how does a sole member do it from abroad?

Yes. The statements are subject to the members' approval before filing (OMF 2.036/2025, Annex 1 pt. 1.7), and the members decide how net profit is allocated (art. 194(1)(a) Law 31/1990). A sole member exercises the meeting's powers alone (art. 13). From abroad, the signed documents are scanned into the ZIP attached to the filing.

Where and how are the statements filed, and by when?

At ANAF, electronically only, on www.e-guvernare.ro, signed with a qualified digital certificate: one PDF from the free software with the XML attached, and a ZIP of legible scans, within 9.5 MB. The deadline is 31 May inclusive of the year after the financial year, or the first working day after it (OMF 2.036/2025, Annex 1 pt. 1.8, 3.1).

What happens if the statements are filed late?

Not filing is sanctioned under art. 42 of the Accounting Law (OMF 2.036/2025, Annex 1 pt. 3.4). A micro-enterprise pays profit tax from the quarter the on-time condition fails (art. 52(2) Fiscal Code). From 1 January 2026, statements five months late are a ground for fiscal inactivity, and dissolution follows a year without reactivation (art. 92 Fiscal Procedure Code).

Does a small SRL need an audit?

Not below the thresholds. Audit applies to medium and large entities, and to companies above two of: total assets 16,000,000 lei, net turnover 32,000,000 lei, an average of 50 employees, in two consecutive financial years (OMF 2.036/2025, Annex 1 pt. 2.6(4)). Audit is carried out by financial auditors, and we do not offer it.

Can I pay myself a dividend once the statements are approved?

Annual dividends follow the members' approval of the statements and allocation of profit (art. 194(1)(a) Law 31/1990); a company with carried-forward losses first sets up legal reserves and covers them (art. 69^1, Law 239/2025). With net assets below half the capital, current-year profit waits. Tax: see the taxes a company and its owner pay in Romania.

Who can see my company's accounts once they are filed?

Anyone. The Ministry of Finance shows the filed balance sheets of the last six years on its company lookup page, and it sends copies to the Trade Register (ONRC) for legal publicity (art. 185(3) Law 31/1990). The same lookup is how a buyer checks a ready-made company before buying it.

Ready to hand over this year's statements?

The filing plan sets the size class, the documents, the signatures and the date. Fees on request.
